Agreement Last Updated: November 20, 2019 These CarrierLink Service Terms together with the acceptable use policy and copyright policy and all other additional terms and information that may be provided within the Service (collectively “Agreement”) constitute a fully binding agreement between FourKites, Inc. (“FourKites”, “we”, “us” or “our”) and you that governs your rights and obligations regarding the use of the Application and service (collectively, the “Service”). “Application” means FourKites’ mobile application CarrierLink (“CarrierLink Application”) and for users unable to download the CarrierLink Application, means cell phone location tracking, opted-in to via SMS or phone  consent (“CarrierLink Appless”). Please read the terms and conditions of this Agreement carefully before downloading, installing, registering for, opting-in to use or using the Service. By entering into this Agreement, and/or by using or accessing the Service, you expressly accept this Agreement and all of its terms and you agree to abide by them. In accepting this Agreement, you (a) acknowledge that you have read and understand this Agreement; (b) consent to this Agreement; and (c) agree to be legally bound by this Agreement. If you do not agree to be bound by the terms and conditions of this Agreement, you may not use or access the Service. Further, you represent and warrant to FourKites that (a) you are at least 18 years of age and have the authority to agree to this Agreement and (b) to the extent you are accepting this Agreement on behalf of an entity, you have the right and authority to agree to this Agreement on behalf of such entity, in which case “you” refers hereafter to such entity. 1. Purpose FourKites offers a cloud-based, online software platform which, among other things, allows shippers, truckers, carriers, brokers and other participants within the logistics and transportation industry to plan and track freight location and otherwise communicate and collaborate with one another as part of a network (the “Platform”). To track freight location, FourKites retrieves the truck’s location from the telematics platforms or driver cell phones. The Service provides you with the ability to provide your truck’s location through your cell phone by using the Service so that we can integrate that information into the Platform with other data, including weather and maps, to enable our customers to plan and track their freight and communicate with you and others shipping, moving, tracking and receiving the freight. When using the Service, we will locate your cell phone in order to provide ETA information and active load location status updates to the appropriate shipper, third party logistic provider, broker and/or carrier. Your cell phone will only be located in accordance with the terms of the privacy policy and with your consent, which is obtained either (a) by enabling location tracking from within the CarrierLink Application setting on your cell phone and signing into the CarrierLink Application or (b) by an SMS or IVR opt- in process that requires you to reply “yes” to confirm your consent for location tracking. To deactivate location tracking, for the CarrierLink Application, change your status to “Off Duty”, disable location tracking from within the CarrierLink Application setting within your cell phone or uninstall the application and, for CarrierLink Appless, send “STOP” as a response to the confirmation SMS received at the time of opt-in or send STOP to 84787. The CarrierLink Application also provides you with the ability to (a) send messages directly to the shipper or the receiver’s facility to provide information on status of the load; (b) check-in and check-out of the shipper or receiver’s facility (including, without limitation, complete and submit forms required by the facility, schedule appointments with the facility and receive instructions as to dock assigned to you to load or unload the freight;  (c) to rate and review shipping and warehouse facilities and (d) upload a photo of a shipping document (e.g. POD document). It is strictly forbidden to input updates or other User Content (as defined below) or otherwise interact with the Service while driving. Updates or other User Content you want to submit to the Service may only be sent after you have stopped your vehicle in an appropriate location permitted by law. As such, you waive any claims against FourKites that may arise out of any accidents or damages resulting from use of the Service in violation of the foregoing. Further, as discussed above, the Service is designed to enable FourKites to track a load that you are transporting and is not designed to track you or your personal trips. In light of this, make sure that the device on which the Service is being used are linked to the vehicle. We recommend that you do not take the device with you when you leave the vehicle and do not use your personal device for the Service. Press the “Idle” button if you must leave your vehicle with the device or enter a country where it is illegal to follow a vehicle. 2. Electronic Communications You agree that we may provide notices and messages about the Service to you in the following ways: (a) within the Service or (b) sent to your contact information provided to us (e.g., e-mail or phone number). You agree that texts may be generated by automatic systems. Communications from us may include text, email messages, and push notifications to provide a code to sign into the Service or regarding the operation of the Service, updates regarding new, existing, and discontinued features of the Service. We do not charge for text messages, but standard or other charges imposed by your carrier may apply. Please check your carrier’s plan before using the Service to be sure you understand any charges that may be incurred by you. 3. The License During the term of this Agreement and subject to this Agreement, FourKites hereby grants you a free of charge, non-exclusive, non-transferrable, non-sublicensable, revocable, limited license to access and use the Service and Content (as defined herein) to (a) track loads you are transporting; (b) communicate with shippers, carriers, brokers and other participants within the logistics and transportation industry; (c) rate and review shipping or warehouse facilities and amenities; and (d) engage in other communications with participants in the trucking and/or shipping industry. You hereby acknowledge that FourKites does not directly provide any products or services to you other than making commercially reasonable efforts to make the Service and Content available for use in accordance with the license granted in this Section. 4. License Restrictions You (and/or any third party on your behalf) may not: directly or indirectly copy, modify, translate, adapt or otherwise create derivative works or improvements of the Service, the Content or any part thereof; directly or indirectly reverse engineer, attempt to derive the source code of, copy or reproduce all or any portion of the Service (including the Application), Platform or Content, whether electroniy, mechaniy or otherwise, in any form including, but not limited to, copying presentation, look and feel, style, or organization; or use the Service or Content in violation of the acceptable use policy or other policy posted at FourKites’ website or otherwise made available to you from time to time. You shall use the Service solely for its intended purposes and shall not use the Service for the benefit of any third party except as specifiy contemplated under this Agreement. You may not use the Service commercially. For example, you may not: (a) offer to third parties a service of your own that uses the Service; (b) resell the Service; (c) offer to rent or lease the Service; or (d) offer the Service to the public via communication or integrate it within a service of your own, without the prior written consent of FourKites. For clarity, the examples listed are made for illustrative purposes only; they do not constitute an exhaustive list of restricted activities involving the Service. 5. Intellectual Property Rights The Service, and any content, materials, graphics, features, functionality, and products or services accessible on or through the Service (collective, the “Content”) and all upgrades, updates, corrections, and enhancements thereto and all copyrights and other intellectual property rights related thereto are the property of FourKites, its affiliates and its and their licensors and suppliers; and FourKites, its affiliates and their respective licensors and suppliers retain all right, title and interest in and to the Service, the Content and all intellectual property rights therein or in connection thereto. The Service and the Content are owned and operated by FourKites, and they are licensed, not sold, to you. The design, trade dress, and the ‘look and feel’ of the Service are protected works under applicable intellectual property laws, and we and our affiliates, licensors and suppliers retain all intellectual property rights in them. You acknowledge that we are the owner and licensor of the trademarks, logos, service marks, trade names and similar designation of FourKites (collectively, the “FourKites Marks”), including all goodwill associated therewith, and that your use of the FourKites Marks will confer no additional interest in or ownership of the FourKites Marks in you but rather inures to the benefit of FourKites. All other trademarks, logos, service marks, company or product names set forth in the Service, such as the logos or trademarks of any third-party provider, are the property of their respective owners. All suggestions, recommendations, bug-fixes, error-fixes or other communications from you to FourKites regarding the Service shall, upon submission to FourKites, be owned solely and exclusively by FourKites. 6. Your Data and Content Through your use of our Service, we will automatically collect your personal information as described in the privacy policy, and you may, in addition and as described in the privacy policy, actively enter and submit information or data in connection with your use of the Service, including information provided to set up your FourKites account and identifying your driver status (collectively “User Data”). To enables us to provide you with the Service and provide our customers with the Platform, you hereby grant us a perpetual, non-exclusive, worldwide, royalty-free, transferable, sublicensable, right and license to collect, process, and use your User Data as set forth in the privacy policy and this Agreement. In addition, in the course of your use of the Service, you may submit and share content and information with us and other users of the Service, which may include photos, ratings and reviews of shipping and warehouse facilities or communications with other users of the Service (collectively “User Content”). You shall be solely responsible for all User Content you input into the Service, and you acknowledge that once User Content is submitted or posted to the Service, you may not be able to withdraw or delete it. FourKites shall be entitled, at its sole discretion, to: (a) remove or cancel any User Content that FourKites deems to not be in compliance with this Agreement or to be inappropriate in any way, and FourKites shall not be liable to you or any other party on account of any such decision; (b) review all User Content to ensure that it complies this Agreement; or (c) suspend, restrict and/or terminate, without notice of any kind, your access to the Service for any reason. Notwithstanding the foregoing, FourKites shall not be required to review or monitor any User Content entered into the Service, and you shall be solely responsible for the veracity and accuracy of all such data, content and information. You represent and warrant that (i) that you own all intellectual property rights in your User Content or otherwise have the right, and received all required consents, authorizations and licenses to use the User Content for the Service and to provide the User Content to us as contemplated hereunder; (ii) that all User Content you input into the Service complies  with the acceptable use policy; and (iii) that by submitting or sharing your User Content with us, you are granting us and our affiliates with an irrevocable, worldwide, perpetual, unrestrictive, non-exclusive, royalty-free, transferable and sublicensable right and license to use, copy, distribute, disseminate, prepare derivative works of, and display your User Content in any manner we deem fit, including for commercial purposes or otherwise, at our sole discretion and without acknowledgment or compensation to you, but, in each case, we will not share or publish your personal information except as set forth in the privacy policy or without your express prior written consent. You assume sole responsibility for any User Content you share, and you alone are liable for the consequences when you post User Content. As between you and FourKites, subject to the rights granted to us in this Agreement, you retain full ownership of all of your User Data and User Content and any intellectual property rights or other proprietary rights associated with your User Data and User Content. You are solely responsible for making backup copies of your User Data and User Content. If the Service is discontinued or canceled, we may delete your User Data and User Content in accordance with the terms of the privacy policy. 7. Third Party Services The Service may display, include, or make available third-party services (including data, information, applications, and other products, services, and/or materials) (“Third Party Services”). You acknowledge and agree that FourKites is not responsible for Third Party Services, including their accuracy, completeness, timeliness, validity, copyright compliance, legality, decency, quality, or any other aspect thereof. FourKites does not assume and will not have any liability or responsibility to you or any other person or entity for any Third Party Services. Third Party Services and links thereto are provided solely as a convenience to you, and you access and use them entirely at your own risk and subject to such third parties’ terms and conditions. 8. Confidentiality You are solely responsible for maintaining the confidentiality of your CarrierLink Application account. You agree not to transfer your CarrierLink Application account to another person or lend or otherwise transfer your use of or access to the Service to anyone else. You are also solely responsible for any and all activities that occur under your CarrierLink Application account with the Service. 9. Term and Termination This Agreement shall continue in full force and effect (the “Term“) for so long as you have access to the Service. FourKites and you shall be entitled to terminate your access to the Service at any time. If you want to delete your account, email support@fourkites.com or  . In addition to the foregoing, in the event that FourKites determines, in its sole and absolute discretion, that you have breached this Agreement, threatened to breach this Agreement, committed any fraud or deception, breached any FourKites policy in effect from time to time or otherwise failed to perform to the standards required of FourKites, FourKites shall be entitled, at its discretion and in addition to any other remedies it may have hereunder and/or at law, to terminate, cancel or suspend your access to the Service, in each of the foregoing cases at any time and for any period of time. Upon termination of this Agreement for any reason, You shall no longer be entitled to access or use the Service. Except as set forth in the privacy policy, FourKites is not responsible for any removal or loss of the information or content you have submitted to the Service. When information or content is removed from the Service, traces or copies may still remain elsewhere. Sections 4, 5, 6, 7, 8, 9, 10, 11, 12, 13 and 14 of this Agreement shall survive any termination of this Agreement. 10. Privacy FourKites respects your privacy during your use of the Service and the Content. Our privacy policy pertaining to the Service is readily accessible and describes our use of your personal information. Since the privacy policy is subject to periodic updates, it is recommended that you periodiy review the policy for updates. We will retain your personal information for the period necessary to fulfill the purposes for which it was collected and as otherwise needed to comply with applicable law and internal company policies. Specifiy, your location data obtained by the Service will be retained in FourKites’ servers for up to 90 days after the termination of the agreement between FourKites and its applicable customer. 11. Disclaimer The Service and the Content are provided to you “as is” and “as available” and with all faults and defects without warranty of any kind. To the maximum extent permitted under applicable law, FourKites, on its own behalf and on behalf of its affiliates and its and their respective licensors and service providers, expressly disclaims all warranties, whether express, implied, statutory or otherwise, with respect to the Service and the Content, including all implied warranties of, merchantability, fitness for a particular purpose, title and non-infringement, and warranties that may arise out of course of dealing, course of performance, usage or trade practice. Without limitation to the foregoing, FourKites provides no warranty or undertaking and makes no representation of any kind that the Service and the Content, will meet your requirements, achieve any intended results, be compatible, or will work with any other software, applications, systems, or services, operate without interruption, meet any performance or reliability standards or be error-free, or that any errors or defects can or will be corrected. In addition, you hereby agree and acknowledge that: (a) FourKites shall not be responsible for any actions taken by any other party using the Service or reviewing any of your User Content; (b) FourKites does not recommend or endorse any third parties hereunder, and makes no representations or warranties whatsoever regarding any such third party; (c) FourKites is not responsible for any other party’s compliance with applicable laws, rules or regulations (including, without limitation, any licensing requirements); (d) FourKites is not responsible for verifying the accuracy or veracity of any User Content; and (e) FourKites shall not, under any set of circumstances, be responsible or liable for an content, text, photographs and/or other User Content, including any User Content which may violate applicable law and/or a third party’s intellectual property rights. FourKites shall not be liable in any way for the condition of any product, the performance of any service or any other action taken by any third party. FourKites is not a party to any transaction or business arrangement between you and any customer of FourKites, and shall not be held responsible or liable in any way for any damages or issues that may arise in connection with such relationship. You agree and acknowledge that FourKites does not make any representations or warranties regarding any other users of the Service, any information conveyed through the Service, including the User Content, or any communications facilities through or within the Service. You agree and acknowledge that certain information posted within the Service may be inaccurate. You agree that FourKites shall not be liable for any damages or costs of any type arising out of or in any way connected with any relationship initiated or any information learned via the Service. In no event shall FourKites be liable for any third party materials, database and/or their content, including all implications arising from such error or malfunction related to database. Additionally and without derogating from the above clauses, FourKites disclaims any warranties relating to the accuracy of the maps, road conditions, driving directions, or navigation routes presented or displayed in or by the Service. For instance, existing roads may be missing from the map. 12. Limitation of Liability TO THE FULLEST EXTENT PERMITTED BY LAW, FOURKITES, ITS AFFILAITES AND THEIR RESPECTIVE OFFICERS, DIRECTORS, SHAREHOLDERS, EMPLOYEES, LICENSORS AND SERVICE PROVIDERS SHALL NOT, UNDER ANY SET OF CIRCUMSTANCES, BE LIABLE TO YOU FOR ANY DIRECT, SPECIAL, INCIDENTAL, INDIRECT, PUNATIVE OR CONSEQUENTIAL DAMAGES, OR ANY OTHER DAMAGES, INCLUDING, BUT NOT LIMITED TO, LOST PROFITS OR DATA, ARISING OUT OF THIS AGREEMENT OR YOUR USE OF THE SERVICE OR CONTENT, WHETHER BASED IN CONTRACT, TORT OR ANY OTHER LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBLITY OF SUCH DAMAGES. IN ANY EVENT, YOUR SOLE REMEDY WILL BE LIMITED TO CORRECTING SUCH ERRORS, OR MALFUNCTIONS, AND IN LIGHT OF THE RELEVANT CIRCUMSTANCES. IN ADDITION, TO THE FULLEST EXTENT PERMITTED BY LAW, THE AGGREGATE LIABILITY OF FOURKITES TO YOU FOR ANY CLAIM RELATING TO THIS AGREEMENT, THE SERVICE, THE CONTENT, OR OTHERWISE SHALL NOT EXCEED FIFTY DOLLARS ($50). 13. Indemnification You agree to indemnify, defend, and hold harmless FourKites, its affiliates, and its and their respective directors, officers, employees, contractors, agents, representatives, successor and assigns from and against any and all losses, damages, liabilities, deficiencies, claims, actions, judgments, settlements, interest, awards, penalties, fines, costs or expenses of whatever kind, including reasonable attorneys’ fees, arising from or relating to (a) your use or misuse of the Service, including but not limited to the User Content you submit or make available through the Service, and (b) your breach of this Agreement. 14. Export Control You represent and warrant that: (a) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a “terrorist supporting” country; and (b) you are not listed on any U.S. Government list of prohibited or restricted parties. 15. Modifications to the Service FourKites may, either partially or in its entirety and without being obligated to provide prior notice, modify, adapt or change the Service’s features, the user interface and design, the extent and availability of the contents in the Service and any other aspect related to the Service. You will have no claim, complaint or demand against FourKites for applying such changes or for failures incidental to such changes. 16. Modification of these the Agreement FourKites may modify the Agreement from time to time. All non-material changes are effective immediately when we post them and apply to all access to and use of the Service thereafter. If we make material updates to this Agreement that would negatively impact your rights or increase your obligations under this Agreement, a notice will be posted within the CarrierLink Application. You are responsible for periodiy visiting this Agreement to check for any changes. Your continued use of the Service after this Agreement has been modified signifies your assent to this Agreement as revised. If you dissent to the updated Agreement or to any term within them, you must discontinue all further use of the Service. You should check this Agreement regularly to ensure you remain current on the terms set forth herein. 17. General These CarrierLink Service Terms together with the policies that are an integral part of the Agreement, namely the acceptable use policy and copyright policy, constitute the entire and complete agreement between you and FourKites concerning the Service and Content and supersede all prior or contemporaneous understanding and agreements, whether written or oral, with respect to the Service and the Content. No failure to exercise, and no delay in exercising, on the part of either party, any right or any power hereunder shall operate as a waiver thereof, nor shall any single or partial exercise of any right or power hereunder preclude further exercise of that or any other right hereunder. If any provision of this Agreement is illegal or unenforceable under applicable law, the remainder of the provision will be amended to achieve as closely as possible the effect of the original term and all other provisions of this Agreement will continue in full force and effect. 18. Governing Law; Jurisdiction; Limitations This Agreement is governed by the laws of the State of Illinois, without giving effect to any conflicts of law principles. Any dispute, claim or controversy arising out of, connected with or relating to this Agreement and the Service, will be under the exclusive jurisdiction of the competent court in Cook County, Illinois. Should you desire to file any cause of action against FourKites, arising out of or related to the Service, you must do so within one year of the day you become aware of the cause of action. Failure to file a lawsuit within the aforementioned timeframe will bring about the permanent barring of the cause of action and will constitute your complete and final waiving of the lawsuit. 19. Assignment You may not assign or transfer your rights in and to the Service and the Content, without our prior written consent. FourKites may assign its rights in and to Service and the Content to a third party at its sole and absolute discretion, provided that the third party undertakes FourKite’s obligations to you under this Agreement. 20. Relationship This Agreement and your use of the Service, including the submission of User Data and User Content into the Service, do not create, and shall not be construed as creating, any relationship, partnership, joint venture, employer-employee, agency, or franchisor-franchisee relationship in any way and of any kind between the parties hereto. Your access and use of the Service is intended for your enjoyment and benefit and for the benefit of our Platform customers. The provision of the Service to you (subject to your compliance with this Agreement) constitutes the sole and sufficient consideration that you are entitled to receive for any User Data, User Content or other contributions you make to the Service. Fees charged for the Platform, if any, are set forth in separate agreements with FourKites and its customers. 21. Third Party Outlets When you access and use the Service from your device(s), you agree that: The Service is made available to you via third party app stores (collectively, the “Third Party Outlets”). This Agreement is between you and FourKites only. Third Party Outlets have no obligations to you or responsibility for the Service, including without limitation, any obligation to furnish any maintenance and support services for the Service. We are responsible for addressing any claims of any user or any third party relating to the Service, including, but not limited to: (a) product liability claims; (b) any claim that the Service fails to conform to any applicable legal or regulatory requirement; and (c) claims arising under consumer protection or similar legislation. The Third Party Outlets and their subsidiaries are third-party beneficiaries of this Agreement, and, upon your acceptance of this Agreement, each Third Party Outlet will have the right (and will be deemed to have accepted the right) to enforce this Agreement against you as a third-party beneficiary thereof. 22. Cellular Providers (AT&T, Sprint, T-Mobile, Verizon Wireless and others). Cell phone-based location tracking is supported by the following carriers – AT&T, Sprint and its brands Virgin and Boost, T-Mobile and its brand MetroPCS, Verizon Wireless and U.S. Cellular. This is subject to change without notice. This is not a Cellular Provider application. You acknowledge and agree that (a) your relationship with us as the application provider is separate from your relationship with your Cellular Provider; (b) your Cellular Provider is not responsible for the Service; and (c) you will hold harmless your Cellular Provider and its subsidiaries, affiliates, officers, employees, agents, successors and assigns from any judgments, claims, actions, losses, liabilities or expenses arising from or attributable to this Service or the acts or omissions of us. These General Terms and Conditions for Data Providers (these “Terms”) apply to Data Providers and their Authorized Users in relation to (a) sharing of Data through the Platform and, where applicable, and (b) access and use of the Platform. Data Provider accepts and agrees to be bound by these Terms by either (1) clicking a box indicating acceptance or (2) accessing or using the Platform in any manner or (3) executing an Order Form or other document that references these Terms (each action qualifying as “Acceptance”). The individual accepting these Terms is accepting such on behalf of the Data Provider and represents that (s)he has the authority to bind the Data Provider. FourKites may amend these Terms as may be necessary, for example, to comply with applicable laws and/or to reflect changes to the Platform. FourKites shall make available to Data Provider any updates to these Terms through publishing an updated version at https://www.fourkites.com/legal/general-terms-and-conditions-for-data-providers/. Data Provider’s continued sharing of the Data and/or access or use of the Platform thereafter shall constitute acceptance of, and consideration for, such amendments. Capitalized terms have the meanings ascribed to them throughout these Terms. 1. DEFINITIONS Authorized User means a Data Provider’s or its affiliates’ employees who are authorized by Data Provider to access and use the Platform pursuant to these Terms. Data Provider means a carrier, Telematics Provider, broker, freight forwarder or other third-party entity providing Data to FourKites and/or accessing and using the Platform that has accepted these Terms. Data means any data Data Provider or its Authorized Users share or input into the Platform including, without limitation, telematics and/or other location data (e.g., GPS position, EDI status updates), dispatching data, truck number, appointment data, load creation data, invitations to Carriers to join the Platform, instant messages and other electronic communication data to other Customers. FourKites means: where Data Provider is located in the European Economic Area, Switzerland or the United Kingdom: FourKites B.V. with principal offices at Schiphol Boulevard 175, 1118 BG Schiphol, Netherlands; in any other case: FourKites, Inc., a Delaware corporation, with principal offices at 110 N. Wacker Drive, Suite 4550, Chicago, IL 60606. FourKites Materials means the Platform (including all updates, customizations, and/or modifications thereto) and any associated documentation or manuals accessible at the Knowledge Base on the Platform or other materials provided in or with the Platform, including all intellectual property rights therein. Customer means any party that is a direct or indirect customer of FourKites for which Data Provider has Data. For clarity, where Data Provider is using the Platform to manage its own supply chain operations, Data Provider is acting as a Customer. Customer Agreement means an agreement between FourKites and a Customer, directly or through a Platform Partner, for the provision of certain Platform features and related services. Platform means FourKites’ patented (U.S. Patent No. 11,017,347, U.S. Patent No. 11,195,139 and U.S. Patent No. 11,748,693) cloud-based, online real-time supply chain orchestration platform (Intelligent Control Tower TM) and mobile and/or device applications (to the extent identified in the Order Form) which allows participants within the logistics and transportation industry to manage and automate execution of their supply chain network operations including tracking orders, inventory or freight location and/or managing yards or assets. Platform Partner means a third party that integrates its platform with the FourKites Platform to enable the parties to share Data for Customers. Purpose means sharing and using Data to enable FourKites to provide supply chain orchestration and related services through the Platform, including, without limitation, making available shipment, order or inventory visibility data and related analytics and reports, to Customers, Platform Partners or to other third parties as directed by Customer. Supply Chain Network means a network developed by FourKites within the Platform for those engaged in the logistics and transportation industry to communicate and collaborate with one another. Telematics Provider means any telematics provider or other supplier of GPS tracking devices or any other devices and services that are or may be used to obtain any information related to transportation services, including, but not limited to, GPS tracking information and other information. The terms “controller”, “business”, “processor”, “services provider”, “personal data”, and “processing” shall have the meanings given to them under the applicable privacy laws, including where applicable the EU General Data Protection Regulation, and the California Consumer Privacy Act of 2018. 2. BACKGROUND 2.1 Data Provider has Data relevant to one or more Customers. 2.2 To the extent Data Provider has been granted user access to the Platform, Data Provider’s and its Authorized Users’ access and use of the Platform are subject to the additional terms in Exhibit A. 3. ACCESS AND USE OF DATA 3.1 Data Provider hereby grants to FourKites and its affiliates a limited, non-exclusive, royalty-free license to incorporate the Data, and/or any API the Data Provider may provide to FourKites to carry out the Purpose and to copy, make available and otherwise use the Data in accordance with these Terms. 3.2 FourKites will only use the Data necessary to carry out the Purpose. In the event Data Provider provides any Data not necessary for the Purpose, Data Provider authorizes FourKites to delete such Data. 3.3 Data Provider understands and agrees that FourKites makes the Data pertaining to a Customer available to (a) any authorized Platform user of such Customer; (b) any third party through the Platform to the extent requested or authorized by such Customer; (c) the applicable Platform Partner where such Customer is receiving supply chain visibility and related services through such Platform Partner; and (d) as otherwise authorized by such Customer through the Platform or in writing. 3.4 Notwithstanding anything to the contrary in these Terms, Data Provider agrees that FourKites may anonymize or aggregate the Data (the “Aggregate Data”) to prepare reports, analyses and enhancements and to incorporate such Aggregate Data containing the Data into other features or work product in connection with the Platform.  FourKites shall own and retain all right, title, and interest in and to Aggregate Data. 3.5 At any time, Data Provider may withdraw approval for sharing Data with a specific Customer electroniy through the Platform or by providing prior written notice to FourKites. Following Data Provider’s withdrawal of an approval for a specific Customer FourKites shall continue to have the right to use the Data collected prior to the date of withdrawal to fulfill the Purpose, subject to these Terms. 4. REPRESENTATIONS AND WARRANTIES 4.1 Each party represents and warrants that: (a) it has all corporate authority to execute and perform these Terms; (b) it is duly organized and in good standing under the laws of the jurisdiction of its organization; (c) it will comply with all laws and regulations applicable to it in carrying out its responsibilities and exercising its rights hereunder; and (d) it is not a party identified on any governmental or export exclusion list. 4.2 FourKites represents and warrants that it will maintain appropriate administrative, physical, and technical safeguards for protecting the security of Data entered into the Platform consistent with the ISO 27001:2022 and SOC2 Type II frameworks and will make commercially reasonable efforts to maintain ISO 27001:2022 and SOC2 Type II certifications. 4.3 Data Provider represents and warrants (a) it has all right, license, title and ownership, including all intellectual property rights, in and to the Data necessary to grant the license herein; (b) the Data does not infringe the intellectual property rights of a third party and (c) providing the Data to FourKites and use by FourKites as contemplated under these Terms complies with all applicable laws and regulations (including the receipt of consents and permissions required under data protection laws to collect the Data, transfer the Data to FourKites, and use of the Data in the Platform as described in these Terms). 5. DATA PROTECTION 5.1 FourKites will process personal data of Authorized Users for the purpose of managing access and use of the Platform as a controller under the applicable data protection laws. FourKites shall process such personal data in accordance with the FourKites Privacy Notice. 5.2 FourKites will process any personal data that forms part of the Data it receives in accordance with these Terms and the instructions under the relevant Customer Agreement. 5.3 To the extent that Russian or Ukrainian law applies to the processing of personal data that forms part of the Data: 5.3.1 the Data Provider will be considered as the independent operator (controller) of personal data and FourKites will process on behalf of the Customer 5.3.2 the Data Provider shall ensure that it has a sufficient legal basis for the relevant data processing and complies with other obligations of the operator (controller) provided by applicable law required to fulfil its obligations under these Terms; in particular, if required by applicable law, the Data Provider shall obtain the consents of the data subjects to the processing of their personal data, including transfer of personal data to FourKites, the Customer and the Platform Partner (if applicable) and further processing of personal data by FourKites, Customer and the Platform Partner (if applicable); 5.3.3. the Data Provider shall provide FourKites, at its request, with sufficient evidence of the Data Provider’s compliance with applicable data protection law. 5.4 If Russian law applies, when collecting personal data, the Data Provider shall provide recording, arrangement, accumulation, storage, rectification (renewal, alteration), retrieval of personal data of Russian citizens with the use of a database located in Russia. 5.5 To the extent that the California Consumer Privacy Act of 2018 applies to the processing of personal data, FourKites acts as a service provider on behalf of the Customer. For the avoidance of doubt, Data Provider does not provide personal data to FourKites for any valuable consideration. 6. TERM, TERMINATION AND SURVIVAL 6.1 These Terms shall remain in effect as of the date of acceptance by Data Provider and shall continue until either party requests to terminate by providing at least 30 days advance written notice to the other party. 6.2 Sections 3, 8, 9, 10, 11, 13 of these Terms and, where applicable, Section 1 of Exhibit A shall survive any termination of these Terms. 7. NO FEE Unless otherwise stipulated in an Order Form or equivalent document executed by both parties, neither party shall be required to pay any fees, commission, royalties or other amounts to the other party or any third party in connection with access and use of the Data or the Platform under these Terms. 8. CONFIDENTIALITY Each party (the “Receiving Party”) agrees that, as between the parties hereto, all business, technical, financial and other confidential or proprietary information and data, (including the Data and the FourKites Materials), that it obtains from the other party (the “Disclosing Party”) is the confidential information of the disclosing party (“Confidential Information”). The Receiving Party will: (i) protect the Disclosing Party’s Confidential Information using the same degree of care used to protect its own confidential or proprietary information of like importance, but in any case using no less than a reasonable degree of care; (ii) limit access to the Confidential Information to those employees, affiliates, subprocessors and contractors who need to know such information in connection with the Purpose and who are bound by  confidentiality and non-use obligations just as protective of the Disclosing Party’s Confidential Information as these Terms; and (iii) except as set forth in these Terms, will not disclose any of Disclosing Party’s Confidential Information to any third parties without Disclosing Party’s prior written consent. Upon termination or expiration of these Terms or upon request of the Disclosing Party, the Receiving Party will return to the Disclosing Party or destroy (and certify such destruction in writing) all Confidential Information of the Disclosing Party (except the Data), all documents and media containing such Confidential Information, and any and all copies or extracts thereof, provided, FourKites will destroy the Data in accordance with FourKites’ data retention standards unless otherwise agreed under the applicable Customer Agreement. The Receiving Party shall not be obligated under this Section with respect to data or information the Receiving Party is required to disclose by law or by order of a court of competent jurisdiction, provided that the Receiving Party will (i) unless prohibited by such order or statute provide prompt notice of such disclosure; (ii) further use commercially reasonable efforts to limit the disclosure and maintain confidentiality to the maximum extent possible and (iii) comply with any protective order imposed on such disclosure. 9. LIABILITY 9.1 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEITHER PARTY SHALL BE LIABLE TO THE OTHER PARTY OR OTHERWISE FOR ANY INDIRECT, PUNITIVE, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOSS OF BUSINESS OPPORTUNITY OR DATA, ARISING OUT OF THESE TERMS, WHETHER BASED IN CONTRACT, TORT, OR ANY OTHER LEGAL OR EQUITABLE THEORY, AND NEITHER PARTY SHALL BE LIABLE FOR ANY DELAYS OR DAMAGES RESULTING FROM “FORCE MAJEURE” EVENTS OR OTHER EVENTS BEYOND SUCH PARTY’S REASONABLE CONTROL. 9.2 THE AGGREGATE LIABILITY OF FOURKITES TO DATA PROVIDER FOR ANY CLAIM RELATING TO THESE TERMS, THE PLATFORM, OR OTHERWISE SHALL NOT EXCEED $10,000.00 USD. IN NO EVENT SHALL FOURKITES BE LIABLE FOR (A) ANY PLATFORM DOWNTIME, ERRORS WITHIN OR CAUSED BY THE PLATFORM OR OTHER FAILURES IN PERFORMANCE OF THE PLATFORM, (B) CLAIMS ARISING OUT OF COMMUNICATIONS OR ACTIONS INITIATED BY DATA PROVIDER ITS AUTHORIZED USERS OR ANY THIRD PARTY THROUGH OR WITHIN THE PLATFORM, OR (C) ANY MISINFORMATION AND/OR FRAUD COMMITTED BY ANY USER OF THE PLATFORM OR (D) ANY CLAIM MADE BY ANY THIRD PARTY BASED ON ANY FAILURE OF DATA PROVIDER, CARRIERS, TELEMATICS PROVIDERS, CUSTOMERS, PLATFORM PARTNERS OR ANY OTHER PARTY TO COMPLY WITH ANY APPLICABLE DATA PROTECTION LEGISLATION, REGULATIONS, AND RULES IN CONNECTION WITH THE PROVISION AND USE OF THE DATA AS CONTEMPLATED BY THESE TERMS 10. INDEMNIFICATION Data Provider shall defend FourKites, its affiliates, and their respective successors, assigns, officers, directors and employees (each a “FourKites Indemnified Party”) against any claim, demand, suit, or proceeding made or brought against a FourKites Indemnified Party alleging that the Data infringes the intellectual property and/or privacy rights of a third party (“Claim against FourKites”) and shall indemnify FourKites Indemnified Party for any damages finally awarded against, and for reasonable attorney’s fees incurred by, a FourKites Indemnified Party, and those costs and damages agreed to in a monetary settlement; provided that FourKites (i) promptly gives Data Provider written notice of the Claim against FourKites; (ii) gives Data Provider sole control of the defense and settlement of the Claim against FourKites (provided that Data Provider may not settle any Claim against FourKites unless the settlement unconditionally releases each FourKites Indemnified Party of all liability); and (iii) provides to Data Provider all reasonable assistance, at Data Provider’s expense. The limitations of liability set forth in section 9 shall not limit’s indemnification obligations under this section. 11. TRADE LAWS ASSURANCES Each party (a) will conduct business in accordance with all applicable anti-corruption, anti-money laundering, economic and trade sanctions, export controls, and other international trade laws, regulations, and governmental orders (collectively, “Trade Laws”) in the jurisdictions that apply directly or indirectly to the FourKites Materials including, without limitation, the United States and the European Union and (b) represents and warrants that it is (and, in the Data Provider’s case also its Authorized Users are) not on any government prohibited, denied, unverified-party, sanctions, debarment, or exclusion list or export-controlled related restricted party list. Data Provider shall not export or re-export, directly or indirectly, or provide to any other person or entity for export or re-export or provide access to the FourKites Materials without first complying with all U.S. and applicable foreign export control regulations, including, without limitation, obtaining any necessary export or re-export authorization from the applicable governmental authority. In particular, but without limitation, the FourKites Materials may not be exported (a) into (or to a national resident of) any U.S. embargoed country or (b) to anyone on the U.S. Treasury Department’s list of Specially Designated Nationals or the U.S. Department of Commerce’s Table of Denial Orders. 12. MARKETING MATERIALS FourKites may list Data Provider as part of the Platform network on FourKites’ website and/or in marketing materials. In addition, FourKites may reproduce and publish in the media Data Provider’s trademarks, logos, service marks, trade names and similar designations (collectively, “Trademarks”) in accordance with any Data Provider’s brand guidance provided by Data Provider to FourKites. All goodwill from the use of the Data Provider’s Trademarks shall inure to the benefit of the Data Provider. 13. MISCELLANEOUS 13.1 These Terms shall be construed and governed by the laws as stipulated in the table below, without reference to conflict of law principles. Any dispute or claim arising out of or in connection with these Terms or the performance, breach or termination thereof, shall be submitted to the competent courts stipulated in the table below without prejudice to parties’ right to appeal or cassation. The immediately preceding paragraphs shall not prevent either party from seeking immediate injunctive relief in any court of competent jurisdiction. Contracting Party Governing Law Court Jurisdiction FourKites B.V. Dutch Law Netherlands Commercial Court, Amsterdam (following proceedings in English) FourKites Illinois State Law Chicago, Illinois 13.2 Each party shall pay its own costs and expenses in connection with these Terms and its activities hereunder. 13.3 Except as expressly set forth in these Terms, no other rights or licenses, express or implied, are granted under these Terms by either party. No ownership of any intellectual property rights of either party is assigned or transferred to the other party, except as expressly provided herein. 13.4 These Terms, together with any forms and policies referenced herein (all of which are hereby incorporated by reference unless otherwise expressly excluded), supersede all prior written or oral agreements between the parties regarding the subject matter hereof (including any earlier version replaced by this version). 13.5 Neither party shall be, nor represent itself to be, the joint venturer, franchiser, franchisee, partner, agent or representative of the other party for any purpose whatsoever. 13.6 These Terms shall inure to the benefit of and be binding upon the parties hereto and their respective successors and assigns, but shall not be assignable by either party without the advance written consent of the other party, except in the case of assignment by FourKites to an affiliate or an entity acquiring substantially all or all of FourKites’ assets, equity, or business and assuming all its obligations and liabilities hereunder. 13.7 No waiver will be deemed effective unless set forth in writing and signed by the party charged with such waiver, and no waiver of any right arising from any breach will be deemed to be a waiver or authorization of any other breach or of any other right arising under these Terms. 13.8 If any provision of these Terms is held to be unenforceable or invalid for any reason, or if any governmental agency rules that any portion of these Terms is illegal or contrary to public policy, the remaining provisions, to the extent feasible, will continue in full force and effect with such unenforceable or invalid provision to be changed and interpreted to best accomplish its original intent and objectives. 13.9 Any notice pursuant the Terms shall be deemed effective when delivered in person or one day after sending such notice by reputable overnight courier with confirmation of next-day receipt, in each case to the receiving party’s address as such party may update from time-to-time. Copies of any notice to FourKites must be sent to legalnotices@fourkites.com to the attention of FourKites’ general counsel. 14. LANGUAGE Data Provider expressly acknowledges that the language of any legal proceedings, of any kind, arising out of or in connection with these Terms will be in English. For sake of convenience only, these terms may be translated into languages other than English. In the event of any conflict arising out of the interpretation and/or performance of these Terms the version in the English language takes precedence and prevails over any other version in any other language. Exhibit A – Platform Access and Use Terms To the extent that Data Provider has signed an Order Form or equivalent document with FourKites and associated terms and conditions that constitute a Customer Agreement, the provisions of such Customer Agreement will prevail over these Terms in relation to access and use of the Platform as a Customer. 1. PLATFORM LICENSE 1.1 License. Subject to Data Provider’s and its Authorized User(s)’ compliance with these Terms, FourKites grants Data Provider a revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Platform, solely through its Authorized Users, strictly for Data Provider’s internal business purposes and in connection with the Purpose. For the avoidance of doubt, Data Provider shall not make the Platform available to any of its customers. 1.2 FourKites Materials. All right, title, and interest in and to the FourKites Materials are and will remain with FourKites and its relevant licensors. The structure, organization, and code of the Platform and the products and services provided by FourKites are the valuable trade secrets and Confidential Information of FourKites, its licensors, and/or its or their affiliates. 1.3 General Learning. FourKites keeps track of Platform usage and performance data to better serve its customers and improve Customer experience. Data Provider agrees that FourKites may reuse all general knowledge, experience, know-how, works, and technologies (including ideas, concepts, processes, and techniques) related to Data Provider’s and its Authorized Users’ use of the Platform. 1.4 Feedback. Data Provider acknowledges and agrees that any suggestions, improvements, feedback, and/or bug fixes relating to the Platform that Data Provider or its Authorized Users may suggest from time to time (“Feedback”) shall be deemed to be owned in full by FourKites, that FourKites may use any or all such Feedback without restriction, and that, to the extent Data Provider has any rights to the Feedback, Data Provider hereby assigns such rights to FourKites at no cost to FourKites. 1.5 Data Protection. Where Data Provider uses the Platform to track and manage its shipments, orders or inventory, it will act in the capacity of a controller to any personal data contained in the Data and FourKites will act as a processor in accordance with the FourKites Data Processing Addendum (“DPA”). Reference to ‘Company’ in the DPA shall be the Data Provider agreeing to these Terms. Furthermore, Data Provider acknowledges that FourKites is part of a global company with global operations, and that personal data may be processed outside Data Provider’s country. All such transfers of personal data shall be in accordance with applicable data privacy laws. Data Provider represents that it has processed any personal data provided to FourKites in accordance with applicable data protection laws. 1.6 Restrictions; Suspension. All use of the Platform by Authorized Users will be considered use by Data Provider and Data Provider shall be fully liable for Authorized Users’ compliance with these Terms. Data Provider shall notify FourKites promptly of any unauthorized access or use of the Platform that violates these Terms. Data Provider shall not, and shall not permit its Authorized Users to, directly or indirectly reverse engineer, attempt to derive the source code of, copy or reproduce all or any portion of the FourKites Materials, whether electroniy, mechaniy or otherwise, in any form including, but not limited to, copying presentation, look and feel, style, or organization. Data Provider shall use, and shall cause its Authorized Users to use, the FourKites Materials solely for their intended purposes and shall not use, and shall not permit its Authorized Users to use, the FourKites Materials for the benefit of any third party except as specifiy contemplated under these Terms. Without limiting the foregoing, Data Provider hereby acknowledges that the Platform is not intended for storage or use of any sensitive data including, without limitation, social security numbers, financial account numbers, health information, passport or visa number, credit card data or any special categories of personal data (“Prohibited Data”). Data Provider and its Authorized Users will not input (i) any Prohibited Data into the Platform; (ii) use the FourKites Materials in violation of any applicable law, the Documentation or the acceptable use policy located at https://www.fourkites.com/legal/acceptable-use-policy/. Data Provider shall be solely responsible for maintaining all passwords and access codes to the Platform and/or any dashboard related thereto and refraining from sharing or otherwise permitting third parties to use any such passwords and/or access codes. Any other software or services that are included in the Platform and are not proprietary to FourKites are licensed subject to the applicable license, all of which are incorporated herein by reference if identified in any Documentation or otherwise made available to Data Provider. FourKites shall have the right to immediately suspend access to the Platform if Data Provider’s or its Authorized Users’ use or access of the Platform results in a risk of loss or damage to the Platform, FourKites’ other systems, or the data or property of any other FourKites licensee or supplier. 1.7 DISCLAIMER. EXCEPT AS EXPLICITLY SET FORTH IN THESE TERMS, NEITHER FOURKITES NOR ITS EMPLOYEES, AFFILIATES, AGENTS, SUPPLIERS, OR LICENSORS MAKES ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, (I) WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT, (II) WARRANTIES REGARDING PLATFORM UPTIME OR DOWNTIME, OR (III) WARRANTIES AS TO THE ACCURACY OF RESULTS THAT MAY BE OBTAINED BY DATA PROVIDER OR ITS AUTHORIZED USERS OR CUSTOMERS BY ENTERING INTO THESE TERMS. DATA PROVIDER ACKNOWLEDGES THAT THE PLATFORM IS PROVIDED AS-IS AND MAY BE UNAVAILABLE FROM TIME TO TIME FOR ROUTINE MAINTENANCE AND/OR OTHER REASONS. 1.8 Notwithstanding anything to the contrary herein, FourKites may terminate Data Provider’s and/or any Authorized User(s)’s access and use of the Platform immediately upon written notice to Data Provider in the event that Data Provider declares bankruptcy or Data Provider or any Authorized User breaches these Terms. 1.9 Upon termination of these Terms, Data Provider shall, and shall inform is Authorized Users to, discontinue use of the Platform and return, remove, or destroy (with written certification) FourKites’ Confidential Information. 2. SUPPLY CHAIN NETWORK PARTICIPATION 2.1 Data Provider agrees to participate in the Supply Chain Network. 2.2 Data Provider acknowledges that Data Provider will appear anonymously as a Supply Chain Network participant in the FourKites Platform and may be contacted by Customers with a request to share Data. Where Data Provider elects to accept a request from a Customer to share Data with such Customer (“Accepted Customer”), Data Provider hereby consents to and authorizes FourKites to (i) share Data Provider’s company information with such Accepted Customer and (ii) make the identified Data available to the Accepted Customer for the Purpose and subject to the Terms. 3. INDEMNIFICATION 3.1 FourKites shall defend Data Provider its affiliates and their respective successors, assigns, officers, directors and employees (each a “Data Provider Indemnified Party”) against any claim, demand, suit, or proceeding made or brought against such Data Provider Indemnified Party by a third party alleging that the use of the Platform as permitted hereunder infringes or misappropriates the intellectual property rights of a third party (“Claim against Data Provider”), and shall indemnify Data Provider for any damages finally awarded against, and for reasonable attorney’s fees incurred by, Data Provider in connection with any such Claim against Data Provider that are specifiy attributable to such Claim against Data Provider, or those costs and damages agreed to in a monetary settlement of such Claim against Data Provider; provided that Data Provider (i) promptly gives FourKites written notice of the Claim against Data Provider; (ii) gives FourKites sole control of the defense and settlement of the Claim against Data Provider (provided that FourKites may not settle any Claim against Data Provider unless the settlement unconditionally releases such Data Provider Indemnified Party of all liability for the Claim against Data Provider); and (iii) provides to FourKites all reasonable assistance, at FourKites’ expense. Notwithstanding the foregoing, FourKites will have no obligation of defense or indemnification or otherwise with respect to any claim or demand based upon (1) any use of the Platform not in accordance with these Terms; (2) any modification of the Platform made by or content provided by any person other than FourKites; and/or (3) Data Provider’s continuation of the allegedly infringing activity after being notified thereof and provided modifications, replacements, or other remedies that would have avoided the alleged infringement or misappropriation. In the event of any conflict or inconsistency between the terms and conditions of this AI Addendum and the terms and conditions of the Agreement, the terms and conditions of this AI Addendum will prevail. Capitalized terms not defined herein have the same meaning as in the Agreement. 1. Definitions “AI Documentation” means the Documentation related to the FourKites AI System. “AI Laws” means all laws relating to the development, deployment, use, and maintenance of AI Systems applicable to FourKites or Company, including but not limited to Regulation (EU) 2024/1689 (“EU AI Act“). “AI literacy” means skills, knowledge and understanding that allow Providers, Deployers and affected persons, taking into account their respective rights and obligations in the context of applicable AI Laws, to make an informed deployment of AI Systems, as well as to gain awareness about the opportunities and risks of AI and possible harm it can cause. “AI System” means a machine-based system that is designed to operate with varying levels of autonomy and that may exhibit adaptiveness after deployment, and that, for explicit or implicit objectives, generates novel content, responses, or outputs such as text, images, audio, or other creative works that can influence physical or virtual environments through content creation or generative capabilities. “AI System Input” means data provided to or acquired by the FourKites AI System in connection with the Company’s license and use of the AI System under the Agreement on the basis of which the AI System produces an AI System Output. “AI System Output” means outputs produced by the FourKites AI System in connection with the Company’s license and use of the AI System under the Agreement, on the basis of the AI System Input. “Company Input” means all Company Data provided to or acquired by the FourKites AI System. “Company Output” means all AI System Outputs that are delivered, displayed, or made accessible to Company through the Platform’s user interface or ERP/TMS Integration identified in a SOW, excluding Aggregate Data and any data related to FourKites’ other customers or business operations. “Deployer” means a natural or legal person, public authority, agency or other body using an AI System under its authority except where the AI System is used in the course of a personal non-professional activity. “FourKites AI System” means the AI System provided by FourKites to Company pursuant to the Agreement as more fully described in the applicable Order Form and AI Documentation. “FourKites Input” means all AI System Input, excluding Company Input. “FourKites Output” means all AI System Output, excluding Company Output. “general-purpose AI model” means an AI model, including where such an AI model is trained with a large amount of data using self-supervision at scale, that displays significant generality and is capable of competently performing a wide range of distinct tasks regardless of the way the model is placed on the market and that can be integrated into a variety of downstream systems or applications, except AI models that are used for research, development or prototyping activities before they are placed on the market. “High-risk AI System” means an AI System classified as high-risk pursuant to the EU AI Act. “Intended Purpose” means the use for which the FourKites AI System is intended by FourKites, including the specific context and conditions of use, as specified in the Order Form and Documentation. “Provider” means a natural or legal person, public authority, agency or other body that develops an AI System or a general-purpose AI model or that has an AI system or a general-purpose AI model developed and places it on the market or puts the AI System into service under its own name or trademark, whether for payment or free of charge. 2. Scope; Compliance and Risk Classification a. Scope. This AI Addendum applies only to Company’s licenses of a FourKites AI System. b. Role of the Parties. FourKites is the provider of the FourKites AI System and shall comply with AI Laws applicable to it as the Provider of the FourKites AI System. Company acknowledges that FourKites is not responsible for compliance with any AI Laws applicable to Company or Company’s industry that is not generally applicable to FourKites in its provision of the AI System.  Company is the Deployer of the FourKites AI System and shall comply with AI Laws applicable to it as the Deployer of the FourKites AI System. c. Intended Purpose and Risk Classification. The FourKites AI System, when used in accordance with its Intended Purposes, is not classified as a High-risk AI System under applicable AI Laws and is not a general-purpose AI model. Company acknowledges and agrees it shall not (a) input any Prohibited Data into the FourKites AI System as this would not align with the Intended Purpose of the FourKites AI System or (b) use the FourKites AI System in a manner that would classify it as a High-risk AI System. d. AI Literacy. Each party shall take measures to ensure, to their best extent, a sufficient level of AI literacy of their employees and other persons dealing with the operation and use of the FourKites AI System on their behalf, taking into account their technical knowledge, experience, education and training and the Intended Purpose of the FourKites AI System. e. Assistance. FourKites shall provide reasonable assistance to Company to comply with AI Laws obligations applicable to Company as Deployer of the FourKites AI System. 3. Transparency and Documentation The AI Documentation shall include the FourKites AI System’s Intended Purpose. When the FourKites AI System generates synthetic audio, image, video or text content in the Platform, the Outputs are marked in a machine-readable format as artificially generated or manipulated where technically feasible. 4. Intellectual Property and Data Rights a. Company Input and Company Output.  As between Company and FourKites, Company is and will remain the sole and exclusive owner of all right, title, and interest in and to all Company Input and Company Output. FourKites may not use Company Input or Company Output except as permitted in the Agreement or this Addendum. b. FourKites Input and FourKites Output.  As between Company and FourKites, FourKites (and its suppliers), is and will remain the sole and exclusive owner of all right, title, and interest in and to all FourKites Input and FourKites Output. 5. Training AI Systems a. AI System Training. Company agrees that FourKites may use Company Input and Company Output, including anonymized, pseudonymized, or aggregated Company Input or Company Output, to train, improve, and enhance the FourKites AI Systems. b. Restrictions on Third-Party AI Training. Notwithstanding the foregoing, FourKites shall not, and shall not allow third parties to, use Company Input or Company Output to train, improve or enhance such third-party’s AI System. c. Training Data Quality. Training data sets are reasonably appropriate for the Intended Purpose of the FourKites AI System. 6. Risk Management a. Risk Management. FourKites shall implement proportionate risk management measures appropriate to the risk level of the FourKites AI System, including: i. Testing to ensure the system functions as intended; ii. Reasonable measures to identify and address obvious operational risks; and iii. Documentation of significant known limitations or risks. FourKites shall notify Company, without undue delay, of any material issues, malfunctions, or safety concerns with respect to the FourKites AI System that come to its attention that materially impacts Company’s use of the FourKites AI System, excluding a Security Incident which shall be governed by and subject to the DPA. b. Human Oversight. The FourKites AI System has been designed to be effectively overseen by natural persons, proportionate to the risks associated with the FourKites AI System. c. System Monitoring. FourKites shall maintain logs of the FourKites AI System sufficient to support troubleshooting and system monitoring. 7. Security and Privacy a. Security. Security obligations related to the FourKites AI System shall be subject to the security requirements specified in the Agreement. Security-related obligations, breaches, and remedies are governed exclusively by the Agreement and are excluded from this AI Addendum. b. Privacy. Any Company Personal Data processed by the FourKites AI System shall be subject to the DPA. Privacy-related obligations, breaches, and remedies are governed exclusively by the DPA and are excluded from this AI Addendum. 8. Audit Rights ‍Company acknowledges that FourKites is regularly audited against security standards by independent third-party auditors and/or internal auditors respectively. Upon written request, FourKites shall supply (on a confidential basis) a summary copy of its most current audit report(s) (“Report”) to Company, so that Company can verify FourKites’ compliance with this AI Addendum. If the Report does not, in Company’s reasonable judgement, provide sufficient information to confirm FourKites’ compliance with this AI Addendum, then FourKites shall also provide written responses (on a confidential basis) to all reasonable requests for information made by Company, including responses to AI System audit questionnaires that are necessary to confirm FourKites’ compliance with this AI Addendum, provided that Company shall not exercise this right more than once per calendar year. 9. Miscellaneous a. Records. FourKites shall retain Company Input and Company Output in accordance with FourKites’ data retention standards. Company is solely responsible for exporting all Company Input and Company Output from the Platform required to satisfy its legal, regulatory, or operational obligations. FourKites will make Company Input and Company Output available for export during the Term but has no obligation to retain data beyond its standard policies following termination. b. Liability Limitation. Each party’s liability under this Addendum shall be subject to the limitation of liability provisions in the Agreement. c. Incorporation and Precedence. This AI Addendum shall be deemed a part of and incorporated into the Agreement so that references in the Agreement to “Agreement” shall be interpreted to include this AI Addendum. Except for the changes made by this AI Addendum, the Agreement remains unchanged and in full force and effect.  If there is any conflict or inconsistency among the Agreement and this AI Addendum, the provisions of the following documents (in order of precedence) shall prevail with respect to matters related to FourKites AI Systems: (a) the Order Form licensing the FourKites AI System to the Company (including company-specific FourKites AI System configuration requirements); then (b) this AI Addendum and then (c) the rest of the Agreement.
